SHS VIVEON AG completes sale of Spanish subsidiary

Martinsried, May 15, 2009 - SHS VIVEON AG has sold it's Spanish subsidiary
SHS Polar Sistemas Informáticos S. L., Madrid to TRIA IT-solutions AG,
Munich for a symbolic price of EUR 5,000,--. Both parties today signed a
notarized sale- and transfer agreement for the sale of all shares of SHS
Deutschland GmbH. SHS Deutschland GmbH is a 100% subsidiary of SHS VIVEON
AG and holds all shares of SHS Polar Sistemas Informáticos S. L., Madrid. A
loan from SHS VIVEON AG to SHS Polar of around EUR 3 million will persist
and will be completely repaid including interest latest until December 31,
2012. In case of an early repayment of EUR 2 million the remaining EUR 1
million of the loan will be waived. SHS VIVEON AG will adjust the
evaluation of the loan to SHS Polar in the balance sheet taking into
consideration the contractual regulations and the applicable probabilities.
SHS VIVEON AG expects a book loss of under EUR 0.5 million in the IFRS
group accounts due to the transaction. The final amount of the book loss
will be determined in the interim financial statement as of June 30, 2009.
Based on the interim financial statement as of March 31, 2009 and under the
consideration of the adjusted value of the loan the equity ratio in the
group accounts will be around 50%.
For SHS VIVEON AG the sale of SHS Polar represents the concluding step in
course of the focusing on the strategic core business. Therefore SHS VIVEON
AG in the future will exclusively focus it's activities on customer risk
and customer value management. With TRIA IT-solutions AG a buyer was
identified that has the necessary know how for the sanitation and the
restructuring of SHS Polar. It is planned to establish a close partnership
especially concerning the sales and marketing of the product and services
portfolio of SHS VIVEON AG in the area of customer risk and customer value
management in Spain.
